Vaxcyte, Inc., a clinical-stage vaccine developer listed on Nasdaq under the ticker PCVX, announced Monday the launch of two separate public offerings totaling $1 billion in potential proceeds, with each raise structured independently of the other.
The San Carlos, California-based company is seeking $500 million through an underwritten sale of common stock and pre-funded warrants, and a concurrent $500 million through convertible senior notes set to mature in 2032. Both offerings are registered under the Securities Act of 1933 and will be sold entirely by Vaxcyte, meaning no selling shareholders are involved.

Underwriters have been granted a 30-day overallotment option on each offering — up to $75 million in additional common stock and up to $75 million in additional notes — bringing the maximum possible capital raise to $1.15 billion if both options are exercised in full.
The two offerings are structured as independent transactions, meaning neither is contingent on the other closing successfully. Vaxcyte cautioned that both raises remain subject to market conditions, and no assurance was given that either would be completed or on what final terms.
